Wholesale Terms + Conditions
This Agreement is between Ade + Ayo (referred to as we, our or us) and the Customer (referred to as you or your) and consists of these Key Terms and the General Conditions:
Approved retailer / 3rd party
To become an authorized retailer, please complete our application form.
We do not allow you to re-sell our products on a third party marketplace such as Amazon or eBay (non-exhaustive list) and we may, and reserve the right at our sole discretion, give you a warning for your failure to comply with those terms and/or will cease providing you with any of our products and will stop our trading relationship with you.
You are required to provide your state or country's resale documentation/vendor's license prior to placing your first order. Please email this documentation to firstname.lastname@example.org.
Wholesale prices* are available to approved retail store and/or website. The current wholesale discount is 40% off of the MSRP.
*Prices do not include freight, insurance, applicable surcharges, taxes, duties or other government charges, all which are your responsibility.
The minimum order is $150, both for new orders and reorders. Please note shipping is not included.
To place your order, please send an email to email@example.com with a list of your desired items and quantities.
Please allow 2-3 business days for order processing. All orders placed on in stock items will ship immediately. If any styles are on back order, they will automatically ship when they are re-stocked, unless otherwise directed.
Claims & Returns
Please check each shipment immediately upon receipt. Any claims for damages and/or shipment discrepancies should be reported in writing within 10 days of receipt of shipment. All items claimed as defective, plus all original boxes, packaging materials, and tracking labels must be saved until each claim is settled, in case Ade + Ayo requires the item to be returned prior to issuing credit, or in case the carrier requires an inspection as part of the audit for damage claim.
Refunds and/or credits for claims and/or shipment discrepancies will be answered and processed as quickly as possible, usually within 3 business days of the initial claims report. A restocking fee of 25% plus return shipping charges may be applied to any shipment returned or refused without prior authorization and confirmation.
Please submit all claims & return requests in writing to firstname.lastname@example.org and include a subject line, "damage claim" or "discrepancy claim" or "return."
Payment is processed at checkout. We accept Credit Cards (Visa, MasterCard, Discover, American Express), PayPal, Shop Pay, Apple Pay and Afterpay. You will be charged the exact amount of the invoice, plus freight at checkout. No goods will be shipped until payment has been received in full.
We do not offer exclusivity of Ade + Ayo brand products in any one geographical area. However, we strive to coordinate a non-competitive environment among our customers by selling to customers that are a reasonable distant from each other or offer them a different product mix.
All prices, minimums, and measurements are subject to change, based on fluctuations in market conditions. Fabrics and colors may vary slightly. An order is a shipment scheduled for one specific ship date to one specific location. Multiple ship date orders and multiple ship-to locations are considered separate individual orders and cannot be combined. Items must be ordered in specified minimum quantities.
When submitting a wholesale application you must agree to the Ade + Ayo wholesale terms and conditions.
